Terms

The following chapters of the NLdigital Terms and Conditions 2020, as filed with the Chamber of Commerce of Central Netherlands, apply to this license agreement: chapters 1, 2, 4, 6, and 9.

JOSF license agreement – payment

Payment term

A JOSF license fee applies for a duration of 12 months, with a payment term of 30 days from the effective date. JOSF | we are Cerios B.V. will invoice the license fee to the User in advance, on a calendar-year basis.

Definition of ‘Team’

A team works on an application or a part of a larger application. Simultaneous usage is limited to the number of team members. The User will receive a license key and the corresponding mandatory license management software for the number of teams. The number of teams will be determined in consultation. As a guideline, each scrum team requires its own license.

Scaling licenses up or down

If the User temporarily requires additional team licenses, this is possible, and the parties will document such arrangements in writing.

JOSF technical support Service Level Agreement (SLA)

Scope

JOSF | we are Cerios B.V. has established an organization and process to provide customer support for JOSF Software.

Contents of JOSF technical support

JOSF | we are Cerios B.V. will be responsible for diagnosing problems and performance deficiencies in the JOSF software as reported by JOSF customers.

JOSF | we are Cerios B.V. will make every effort to resolve such reported and reproducible issues in the software.

JOSF | we are Cerios B.V. provides support via phone, online chat, and email on business days. Business days are defined as 9:00 AM to 5:00 PM (CET), excluding public holidays and weekends.

Reported software issues

Upon receiving a report from a JOSF customer, the JOSF Support Team will contact the reporter within one business day to gather the necessary information.

The support team will attempt to reproduce the issue internally. During this process, the customer is expected to assist to the best of their ability in providing the requested data to the support team.

JOSF | we are Cerios B.V. will categorize the customer request as either a feature request or a certified bug and will act accordingly.

Bug handling

If the issue is reproducible, the JOSF Support Team will attempt to provide a workaround or alternative solution while working with the JOSF Development Team to resolve the issue.

The support team will keep the customer informed about the progress of the issue resolution process.

Feature request

The JOSF Support Team will verify whether the requested functionality exists in the software. If it does, the customer will be instructed on how to implement it.

If not, the JOSF Support Team will try to offer a workaround or alternative approach to meet the customer’s requirement.

JOSF Product Management will decide if, when, and how such requested features will be integrated into JOSF, based on available resources, business needs, and the roadmap.

Implementation of additional or enhanced functionality will be communicated through JOSF’s regular communication channels, such as blog posts, the website, and direct communication with the User/Customer.

JOSF | we are Cerios also offers custom development services for feature requests. Such development is not covered under the JOSF technical support agreement.

Indexation & Pricing

Indexation

An annual price indexation shall be applied in accordance with the standard index category ’62 Computer programming, consultancy and related activities’.

Pricing

The applicable prices for the products and/or services provided by JOSF are specified in the quotation issued to the Customer. All prices are exclusive of VAT and any other applicable taxes or fees, unless explicitly stated otherwise in the quotation.

These general terms and conditions take effect on April 1st, 2025 (CET). Subscriptions entered into before this date are subject to the terms and conditions applicable at that time. These can be provided upon request by JOSF via josf@valori.nl.
